By business law we mean the legal work carried out by companies within the limits of freedom of contract. The work is an advanced practical craft which, in order to keep focus on the business, requires extensive knowledge of the industry's business models and products. Apriori has the knowledge necessary to assist companies in the financial sector in writing and negotiating commercial agreements and we act as a strategic advisor in business development processes.

Commercial contracts

We assist fund managers, securities companies and insurance companies (i.a.) with business-related processes and agreements and in connection with this establishes, among other things, shareholder agreements, IT and system development agreements, cooperation agreements, management agreements, depository agreements, and trade and derivative agreements. We also review and draw up agreements regarding various types of investment products such as investment savings accounts (ISK:s), custody agreements, capital and pension insurance agreements, and portfolio management agreements. We also help financial market players with regards to regulatory and operationally motivated internal group restructurings and draw up internal as well as outsourcing agreements, etc.

Interim general counsel

We often work with clients who, for various reasons, are in the initial or developmental phase of their business and thereby are then in need of external expertise. This need may occur when resources have not yet been acquired, clients have chosen not to have certain competence in their own ranks or when personnel changes have taken place at a short notice and certain roles has to be filled for a certain period. Depending on the length of the period during which you need assistance, we take on assignments on a full- or part-time basis, and then act as in-house corporate counsel and/or compliance officer on-site. Our experience is that this type service can be delivered cost-effectively and with great long-term benefit, since implementation and handover takes place on-site in real time in consultation with the client. After the assignment has been completed, we often help with ongoing updates and follow-up.

Complaint handling

Adequate complaint handling not only creates trust and protection for consumers, but also provides important feedback to companies in the financial industry. We help clients in the work of creating effective complaint processes which include clear instructions and guidelines on how the work should be conducted based on your business model. We can act as the complaints officer for our clients or support the client's existing complaints function. In the case of more complex customer complaints, we provide legal advice to ensure that an individual complaint is dealt with objectively, efficiently, accurately and with due care for the customer.
